Modine receives about $210 million in cash, its shareholders receive stock equal to 40% of the combined ownership, and Modine is left a pure-play climate-solutions company.
The data-center cooling line spans precision air conditioning, computer-room air conditioning and air handler (CRAC/CRAH) units, chillers, condensers, hybrid fan coils and fan walls, and liquid-cooling solutions including coolant distribution units (CDUs) and immersion. A flagship 3 MW chiller delivers a 50% increase in cooling capacity for only a 9% increase in footprint.

The single customer behind the more-than-$4 billion agreement is not named, consistent with Modine's practice of not disclosing 'two global technology customers with confidentiality agreements' widely taken to be hyperscalers. Whether that customer crosses the 10%-of-net-sales disclosure threshold as the 2027-2029 volumes ramp is an open question.

Our probability funnel spans hyperscalers and neoclouds at varying degrees, plus the industrial names you'd expect — Carrier, Caterpillar, Deere, Stellantis, Trane, VW, Volvo.
